Founded more than a century ago, Goodwin has grown to more than 1,200 lawyers in 13 offices throughout the U.S., Europe, and Asia. The firm has adopted what it calls a “capital-meets-innovation platform” through which the firm advises both innovators and investors in the financial, private equity, real estate, technology, and life sciences industries.

Ethics First

In 1912, Harvard classmates Robert Goodwin and Joseph Procter ran into each other in the street and decided to start a law practice together, opening Goodwin & Procter later that year. Two years later, the founders helped a sardine packing company issue preferred stock but later discovered the company financials were fabricated. They took out a $30,000 loan to buy back all outstanding shares at face value and established an ethical standard for their new firm. Fraud would play another key role in the early days of the firm when Robert Goodwin served as the bankruptcy referee who sorted out the original Ponzi scheme—the one perpetrated by Charles Ponzi himself.

Goodwin’s strengths include real estate, capital markets, private equity, technology and life sciences, financial services, intellectual property, securities litigation and white collar defense, and government investigations. The firm’s corporate practice is among the top 20 in Vault’s General Corporate Practice Area ranking and includes everything from capital markets and debt finance to financial restructuring and M&A to private investment funds and venture capital, and more.

The firm also has a bustling real estate practice with a global reach. Among areas that its real estate lawyers tackle are hospitality and leisure deals, joint ventures, portfolio and REIT M&A, and private equity and debt financings. The firm partnered with Columbia Business School in 2019 to present the 12th annual Real Estate Capital Markets Conference. The firm has also launched an initiative called PropTech, which brings together its real estate and technology lawyers to address the increasing intersection between real estate and technology.

Over the past several decades, Goodwin has grown internationally, opening outposts in Hong Kong, London, Frankfurt, Paris, Luxembourg, and Cambridge. Lawyers in Goodwin’s Hong Kong office represent private equity, venture capital, M&A, IP, and capital markets clients, as well as technology and life sciences companies. It also features hospitality, real estate, and anti-corruption practices. The London office focuses on real estate, fund formation, financial services, real estate private equity, hospitality, and cross-border transactions, with principal clients including Deutsche Asset & Wealth Management (previously known as RREEF), Angelo Gordon, Ares Management, Brookfield Office Properties, Four Seasons, GreenOak Real Estate Advisers, Kennedy Wilson, and TIAA Henderson Real Estate. The firm’s Frankfurt office offers one of the leading teams in the European real estate, finance, and corporate sectors. The Paris office advises on private equity and M&A work and has expanded its capacity to serve clients on complex real estate, financial restructuring, and tax matters. In 2019, Goodwin opened a life-sciences-and-technology-focused Cambridge office in the heart of Silicon Fen, as well as a Luxembourg office that works with the firm’s existing London-based Luxembourg desk to serve as a single solution for clients raising and deploying capital in Europe.

February 2020

Goodwin Labs is an innovative new program providing legal services as well as complimentary educational content to early-stage life sciences companies through partnerships with startup incubators and accelerators. The initiative launched its first partnership with Petri, a biology and engineering startup accelerator, and Goodwin Labs will provide programming at Petri’s accelerator space in the form of office hours, presentations, and educational workshops addressing the issues faced by early-stage companies.

November 2019

Located in Silicon Fen, Europe’s key innovation region, Goodwin’s Cambridge office is comprised of a premier team of life sciences and technology lawyers. This marks the third new Goodwin office in 2019, as the firm also opened a technology- and private-equity-focused Santa Monica office and a Luxembourg office that works with Goodwin’s existing London-based Luxembourg desk to represent clients raising and deploying capital across Europe.

October 2019

Goodwin received the Pickering Award for its commitment to pro bono legal services, as the firm serves more than 1,000 pro bono clients each year across a range of matters. Notably, Goodwin hosts citizenship clinics that, in 2019, helped over 700 legal permanent residents on their path to citizenship. Through Goodwin’s Neighborhood Business Initiative, our lawyers serve the business-related legal needs of low-income entrepreneurs and small business owners.

September 2019

Goodwin achieved Diversity Lab’s Mansfield 2.0 Plus Certification after completing the Mansfield Rule 2.0 twelve-month certification program. The Mansfield Rule Certification 2.0 attests that Goodwin affirmatively considered at least 30 percent women, lawyers of color, and LGBTQ+ lawyers for leadership and governance roles, equity partner promotions, formal client pitch opportunities and senior lateral positions. “Plus” status indicates that, in addition to meeting or exceeding the pipeline consideration requirements for Certification, Goodwin successfully reached at least 30 percent diverse lawyer representation in a notable number of our current leadership roles and committees.

  • Provided counsel to Slack Technologies, Inc. as it became the first major Silicon Valley company to use an innovative direct public listing instead of a traditional IPO to list its shares on the New York Stock Exchange.
  • In a deal hailed as a paradigm shift in antirust market analysis for the pharmaceutical industry, Goodwin represented Spark Therapeutics throughout the negotiation and regulatory review process that was part of its $4.4 billion acquisition by Roche.
  • Goodwin advised Medical Properties Trust on the acquisition of a corporate structure which ultimately owns a portfolio of 30 acute care hospital facilities valued at approximately £1.5 billion. According to the firm, this deal is considered the largest U.K. largest real estate transaction of 2019.  
  • In Banister v Davis, Goodwin achieved an important U.S. Supreme Court victory for post-conviction review and preserving habeas petitioners’ right to seek reconsideration without losing their right to appeal.
